Terms of Service

We are CCP ehf., based at Bjargargata 1, 102 Reykjavík, Iceland (“We”, “CCP”). Thank you for joining EVE Frontier (the “Game”).
 

Before you explore the shattered Frontier, there are a few rules you should be aware of (the “T&Cs”). These T&Cs apply when you accept them (e.g. when buying a Founder Access Pack) or otherwise access or use the Game.

(1) Age and account.
 
You must be at least 18 years old to play the Game. To access the Game you will need to acquire a Founder Access Pack and create your own account (“Account”). You are responsible for the security and confidentiality of your Account login credentials and all activities conducted through your Account. 
 

(2) Game changes.
 
The Game is still in development, and will constantly evolve over time. So, it might contain features that we change or remove later on. Importantly, the Game may involve resets (i.e. progress wipes) as we develop it. The Game is provided “as is” and we make no specific promises or representations in relation to it. 
 

(3) Conduct.
 
Please do not do anything that could damage the Game or be harmful to other players or rightsholders (e.g. no hacking, infringing third party rights, cheating, exploiting or manipulating other players or the Game, or harmful, illegal or offensive conduct). If you break these rules (or we have reasonable grounds to suspect you have broken the rules) or you breach any applicable laws, then we may suspend or cancel your access to the Game without prior warning, and you will not receive any refunds for the Game or other content you have paid for.
 

(4) IP.
 
We own all rights in the Game. By sharing any user generated content in the Game, you are giving CCP permission to use it in connection with the Game. We warmly welcome any feedback you would like to share on your experience with the Game. If you do, we can freely use (or not use) any such feedback without any obligation or liability to you (financial or otherwise). 
 

(5) T&Cs changes.
 
We may make changes to these T&Cs, including as new Game features are introduced, and on full release of the Game – if we do, we will make reasonable efforts to update you about these changes. Please note, these T&Cs only apply to the Game and your purchase of Founder Access Packs.
 

(6) Tokens.
 
In the Game, you may see references to “EVE Tokens”. Up until full commercial release of the Game, these will be temporary, testnet-only tokens with no rights, utility, real-world value or ability to transfer to on-chain tokens (“Alpha Tokens”). We may also provide wallet functionality to store Alpha Tokens. Alpha Tokens and/or wallets may be removed at any time prior to full commercial launch of the Game and we may modify, reset and/or remove any privileges offered to holders of Alpha Tokens, the Alpha Tokens or wallets at our discretion. Upon full commercial launch of the Game, any Alpha Tokens, wallets and access to them will be removed at the conclusion of the Closed Alpha. Your access to or accumulation of Alpha Tokens or use of wallets do not translate to or provide you with any rights, benefits, or value in the final release of the Game or any other CCP product. We expressly disclaim to the fullest extent possible in law any liability regarding the nature or value of these Alpha Tokens or wallets. You acknowledge that Alpha Tokens do not create any ownership rights or financial interest, and that these Alpha Tokens are not exchangeable, tradeable, or redeemable for any future version of the Game, “EVE Tokens” or any other digital asset. CCP has no liability to you for any losses or damage, real or perceived, related to your use or misconception of any Alpha Tokens obtained or wallets.
 

(7) Rewards.
 
We may operate a system where you can earn rewards by completing certain tasks (e.g. by referring other players to the Game and completing certain activities in the Game). Rewards are non-transferable and cannot be substituted for cash or any other items. If any laws applicable to you restrict or prohibit you from receiving rewards, you must comply with those legal restrictions or, if applicable, refrain from participating in the reward system. Any unredeemed rewards at the point the rewards system is closed will be lost.
 

(8) Refunds.
 
Your refund rights for the Game, Founder Access Pack and other related purchases depend on the terms of the applicable device/platform on which you access the Game on. However, in relation to CCP: (a) If you are resident in the European Union or United Kingdom: by law (and subject to certain conditions), consumers have the right to withdraw from digital purchases within 14 days of purchase, without giving a reason, and obtain a refund. However, you hereby agree that your right of withdrawal will expire 14 days after your purchase, or when you start downloading or accessing the relevant content for the first time, whichever is sooner. You may also have other statutory refund rights; and (b) If you are resident outside the European Union or United Kingdom (including the USA): all purchases are final and no refund will be made or returns accepted (except where you have a legal entitlement to this, if applicable). 
 

(9) Open source.
 
Certain components of the Game may be made available under open-source licenses. These components are not governed by these T&Cs, but instead by the terms of their respective open-source licenses. Nothing in these T&Cs limits your rights under those licenses, nor does it modify any obligations or restrictions imposed by them.
 

(10) Liability.
 

FOR PLAYERS BASED IN THE EUROPEAN ECONOMIC AREA, THE UNITED KINGDOM OR ARE OTHERWISE NOT BASED IN THE UNITED STATES:
 
The total liability of CCP (and its group companies) arising out of or in connection with these T&Cs will not exceed the total amount you have paid to us under these T&Cs during the six (6) months immediately prior to the event which caused the liability.
 

FOR PLAYERS BASED IN THE UNITED STATES:
 
EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THESE T&CS, THE GAME IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND. CCP HEREBY EXPLICITLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHER, AND WITHOUT LIMITING THE FOREGOING, CCP SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, QUIET ENJOYMENT, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WITHOUT LIMITING THE FOREGOING, CCP MAKES NO WARRANTY OF ANY KIND THAT THE GAME WILL MEET YOUR OR ANY OTHER PERSON’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM, OR OTHER SERVICES (EXCEPT IF AND TO THE EXTENT EXPRESSLY SET FORTH IN THE DOCUMENTATION), OR BE SECURE, ACCURATE, COMPLETE, FREE OF VIRUSES, OR ERROR FREE. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OR CONTENT IN THE GAME. THE USE OF THE GAME WILL NOT NECESSARILY YIELD A PARTICULAR OUTCOME, RETURN, OR RESULT.
 
 
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CCP OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, SAVINGS, REVENUE, OR DATA, OR LOSS OF GOODWILL, IN ANY WAY RELATING TO THESE T&CS OR RESULTING FROM THE USE OF OR INABILITY TO USE THE GAME OR ANY CERTAIN FEATURE OR FUNCTIONALITY THEREOF, INCLUDING, WITHOUT LIMITATION, ANY FAILURE OF ESSENTIAL PURPOSE, EVEN IF CCP HAS BEEN NOTIFIED OF THE POSSIBILITY OR LIKELIHOOD OF SUCH DAMAGES OCCURRING, AND WHETHER SUCH LIABILITY IS BASED ON CONTRACT, BREACH OF WARRANTY, INDEMNITY, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCTS LIABILITY, OR OTHERWISE; AND (II) IN ADDITION TO AND WITHOUT LIMITING THE FOREGOING, IN NO EVENT SHALL CCP OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, OR REPRESENTATIVES BE LIABLE TO YOU, OR ANY OTHER PERSON OR ENTITY, FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR OTHER DAMAGES OF ANY KIND RELATING TO OR RESULTING FROM INFRINGEMENT OF ANY THIRD-PARTY RIGHTS.
 
 
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CCP’S AGGREGATE LIABILITY FOR ANY DAMAGES ARISING IN CONNECTION WITH THE GAME OR THESE T&CS OR ITS SUBJECT MATTER UNDER ANY LEGAL OR EQUITABLE THEORY, REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCTS LIABILITY, OR OTHERWISE, EXCEED (A) THE TOTAL AMOUNTS YOU HAVE PAID (IF ANY) OR ARE PAYABLE BY YOU TO CCP FOR THE GAME DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENTS GIVING RISE TO SUCH LIABILITY; OR (B) IF (A) DOES NOT APPLY, FIFTY DOLLARS ($50 USD). THESE LIMITATIONS AND EXCLUSIONS REGARDING DAMAGES APPLY EVEN IF ANY REMEDY FAILS TO PROVIDE ADEQUATE COMPENSATION AND ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US.
 

(11) Disputes.
 

a) FOR PLAYERS BASED IN THE EUROPEAN ECONOMIC AREA AND THE UNITED KINGDOM OR PLAYERS THAT ARE OTHERWISE NOT BASED IN THE UNITED STATES:
 
You and we agree that your use of the Game and these T&Cs (and any issues arising out of them) will be governed by and interpreted in accordance with the laws of Iceland, and any dispute regarding it will be under the jurisdiction of the courts of Iceland. This does not exclude any mandatorily applicable rules or remedies which would be available to you in a legal claim brought under the laws of your country of residence. We and you both agree to make reasonable and good faith efforts to resolve any dispute between us informally. Normally, we would suggest that this dispute resolution period lasts 30 days unless exceptional circumstances exist. You and we have the legal right to commence legal claims against each other if we consider it necessary.
 

b) FOR PLAYERS RESIDING IN THE UNITED STATES:

1. Governing Law and Forum Choice.
 
These T&Cs and any action related thereto will be governed by the U.S. Federal Arbitration Act, federal arbitration law, and the laws of the State of Delaware, without regard to its conflict of laws provisions. The exclusive jurisdiction for all Disputes (as defined below) subject to the exceptions provided in Section 11(b)(4) will be the state and federal courts located in Santa Clara County, California, and you and we each waive any objection to jurisdiction and venue in such courts. All other Disputes will be arbitrated in the location provided in Section 11(b)(3).
 

2. Mandatory Arbitration of Disputes.
 
We each agree that any dispute, claim or controversy arising out of or relating to these T&Cs or the breach, termination, enforcement, interpretation or validity thereof or the use of the Game, each as they relate to the Game as used or purchased within the United States (collectively, “Disputes”) will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. You and we agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these T&Cs, and that you and we are each waiving the right to a trial by jury or to participate in a class action. 
 

3. Location of Arbitration.
 
If you are a resident of the United States, any arbitration will take place in your county of residence, to the exclusion of all other venues, unless we both agree in writing to a different location. 
 

4.Exceptions.
 
As limited exceptions to Section 11(b)(2) above, the following Disputes can be resolved in court and need not be resolved through arbitration: (i) any Dispute that can be resolved in small claims court (if it qualifies); and (ii) any Dispute involving the infringement or misappropriation of our intellectual property rights.
 

5.Conducting Arbitration and Arbitration Rules. 
 
The arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Rules”) then in effect, except as modified by these T&CS. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. A party who wishes to start arbitration must submit a written Demand for Arbitration to AAA and give notice to the other party as specified in the AAA Rules. The AAA provides a form Demand for Arbitration at [www.adr.org](https://www.adr.org/).
 
If your claim is for U.S. $10,000 or less, you may choose whether the arbitration will be conducted solely based on documents submitted to the arbitrator, through a telephonic or video-conference hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds U.S. $10,000, the right to a hearing will be determined by the AAA Rules. You and CCP agree that the arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of this arbitration agreement.

 

6. Arbitration Costs.
 
Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules. If CCP prevails in arbitration, CCP will pay all its own attorneys’ fees and costs and won’t seek to recover them from you. If you prevail in arbitration, you will be entitled to an award of attorneys’ fees and expenses to the extent provided under applicable law.
 

7. Class action waiver. 
 
YOU AND CCP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR CCP’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, if the Dispute is resolved through arbitration, the arbitrator may not consolidate another person’s claims with your claims and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution (Section 11b) shall be null and void.
 

8. Effect of changes on arbitration. 
 
Notwithstanding the provisions of Section 5 above, if we change any of the terms of this Section 11b after the date you first accepted these T&Cs (or accepted any subsequent changes to these T&Cs), you may reject any such change by sending us written notice (including by email to support@evefrontier.com) within 30 days of the date such change became effective in the date of our notice to you of such change. By rejecting any change, you are agreeing that you will arbitrate any Dispute between you and us in accordance with the terms of this Section 11b “FOR PLAYERS BASED IN THE UNITED STATES” as of the date you first accepted these T&Cs (or accepted any subsequent changes to these T&Cs).
 

9.Severability. 
 
With the exception of any of the provisions in Section 11(b)(7) above, if an arbitrator or court of competent jurisdiction decides that any part of these T&Cs is invalid or unenforceable, the other parts of these T&Cs will still apply.
