NON-DISCLOSURE AGREEMENT & DISCLAIMERS

Thank you for your interest in EVE Frontier. 
 
To access Closed Alpha, you must acquire Founder Access, be at least 18 years old and agree to the below Non-Disclosure Agreement and Disclaimers.
 
By accepting the Non-Disclosure Agreement, you agree not to share any captured assets, such as stream videos or stills, from the Closed Alpha with anyone, regardless of where or how those assets were obtained – whether in-game, on Discord, or elsewhere.
 
Any feedback you may provide during and after Closed Alpha may be used by CCP without restriction or compensation to you.

This non-disclosure and confidentiality agreement (the “Non-Disclosure Agreement”) is entered into at the date of its acceptance by and between CCP ehf., Bjargargata 1, 102 Reykjavík, Iceland, on behalf of itself and its subsidiaries and affiliated companies (collectively, “CCP”), and You, the individual playing CCP’s video game property ‘EVE Frontier’ in Closed Alpha (the “Closed Alpha”).
 
PURPOSE
CCP agrees to provide You with access and participation rights in the Closed Alpha of CCP’s video game property ‘EVE Frontier’ currently in development (the “Game”), during which You will be able to play, give feedback and experience the future of ‘EVE Frontier’ (the “Purpose”). In connection with the Closed Alpha, You may become aware of, or CCP may disclose to You, Confidential Information which CCP would not have agreed to disclose, had You not accepted the terms and conditions of this Non-Disclosure Agreement and the following Disclaimers.
 
DEFINITIONS
“Confidential Information” shall mean information of CCP or provided by CCP that is of value to its owner and is treated as confidential or is marked as ‘Confidential’ or should reasonably be understood to be treated as confidential due to its nature and/or the circumstances of its disclosure, including, without limitation, trade secrets as defined by applicable law, and any and all information and materials disclosed during the course of the Closed Alpha or otherwise in connection with the Game, irrespective of where You get that information from. For the avoidance of doubt, screenshots taken of ‘EVE Frontier’ shall be considered Confidential Information of CCP.
 
NON-DISCLOSURE
Except as otherwise expressly set forth in this Non-Disclosure Agreement, You shall hold all Confidential Information in strict confidence and shall not disclose (including, without limitation, distribute, transmit or transfer) the Confidential Information or any portion thereof to any third party, or use it for any purpose other than participating in the Closed Alpha.
For the avoidance of doubt, under no circumstances are You allowed to share with any third party any screenshots, pictures or other information and materials obtained from the Game or from any other channels related to the Game during Closed Alpha.
You agree that, due to the unique nature of the Confidential Information, the unauthorized disclosure or use of the Confidential Information will involve serious financial harm to CCP. In the event of such unauthorized disclosure, CCP reserves all rights, including, without limitation, the right to pursue compensation for damages.
 
STANDARD OF CARE
You shall notify CCP in writing promptly upon discovery of any unauthorized use or disclosure of
Confidential Information or any other breach of this Non-Disclosure Agreement, and You shall reasonably
cooperate with CCP to regain possession of such Confidential Information and prevent the Confidential
Information’s further unauthorized use and disclosure.
 
OWNERSHIP
You acknowledge that all Confidential Information shall remain the sole property of CCP.
 
GOVERNING LAW & JURISDICTION
This Non-Disclosure Agreement shall be construed and interpreted according to the laws of Iceland and
the parties hereto agree to the exclusive jurisdiction of the courts of Reykjavik, Iceland in connection with
any claim, matter or dispute arising out of, or in connection with, this Non-Disclosure Agreement.
 
DURATION
This Non-Disclosure Agreement shall remain in force for five (5) years from the Effective Date.

PRE-RELEASE PRODUCT
You acknowledge that the Game is a pre-release product and not a final product. The Game is provided
as-is, without any express or implied warranty of any kind, including warranties of satisfactory quality,
merchantability, noninfringement, or fitness for any particular purpose.
 
TEST ENVIRONMENT
You acknowledge that the Game will run in a test environment, that game characters, character data, or
any other value or status indicators that You achieve through gameplay as part of the Closed Alpha may be
erased or modified at CCP’s sole discretion at any time, and that such data shall likely not be exported into
the Game at its commercial release.
 
FEEDBACK DURING FOUNDER ACCESS
You acknowledge and agree that any feedback You may provide to CCP during the Closed Alpha, including,
without limitation, comments, ideas and suggestions regarding the Game (the “Feedback”), shall be the
sole and exclusive property of CCP and You hereby assign all of your right, title and interest in the Feedback
and all intellectual rights related thereto to CCP. Any Feedback You may provide during or after the Closed
Alpha may be used by CCP without restriction or compensation to You.
